USE TERMS
Important guidelines governing your use of the USA Printer Solutions website, computer repair & support service, and relationship with USA Printer Solutions are outlined in these terms and conditions ("terms of use"). You should carefully read them since they include critical information and instructions about things like how long it lasts, how much it costs to terminate it early, our rights to modify its terms, liability limitations, privacy, and arbitration as an alternative to going to court to settle disputes. This agreement will apply to all of your service plans from us, including your current plans if you accept it. By using the USA Printer Solutions service, you agree to these terms and conditions.
“Agreement”
The whole agreement between you and USA Printer Solutions (the "agreement") is stated in these terms and conditions, each accepted plan order that you have submitted, any additional terms provided for your plan order acceptable user policy (AUP), and the privacy policy. The plan order will only be included in the "agreement" if USA Printer Solutions has recognized it in writing or via email. To be eligible to access the USA Printer Solutions site (described below) or get services (described below), you must accept the terms and conditions.
DEFINITIONS
By reference to these words and Conditions, certain of the words that are specified here are also used in the Privacy Policy and the ACCEPTABLE USER POLICY (AUP).
“Content”
"Content" refers to software, materials, services, and other relevant information.
“You” or “you”
"You" refers to you personally, any individual, or any employer you are representing.
“USA Printer Solutions”
The trademark “USA Printer Solutions” is used by USA Printer Solutions under license. All references to USA Printer Solutions refer to USA Printer Solutions
“Geek Smart Solutions Certified Technician/(s)”
“USA Printer Solutions Certified Technician" denotes experts and technicians approved by USA Printer Solutions to carry out the services specified in this agreement.
“SHARED SERVICES”
When one entity or group within USA Printer Solutions and/or its suppliers provides a service to multiple organizations or groups outside of USA Printer Solutions, this is referred to as "shared services."
“Subscription Based Plans”
USA Printer Solutions offers tenured subscription plans called "Subscription Plans" or "Subscription/(s)" that are valid for a predetermined amount of time and do not contain incident-based plans like "Per Incident Plan" or similar ones.
“Services” AND “USA Printer Solutions Portal”
The term "Services" refers to any service plan that you sign up for with USA Printer Solutions by calling the USA Printer Solutions phone number listed on the USA Printer Solutions website or by using the USA Printer Solutions website at www.USA Printer Solutions (the "USA Printer Solutions Portal"). These Terms of Usage govern all plans provided through the USA Printer Solutions Website, including any usage of the USA Printer Solutions.com Portal. These Terms of Use supersede any legitimate Plan Order form you submit to obtain services ("Plan Order") in the event of a conflict.
“Materials”
The term "materials" refers to any websites, download sections, white papers, press releases, datasheets, frequently asked questions, product details, quick reference guides, or other types of content that are made available for download from the USA Printer Solutions Portal and are the exclusive property of the company and/or its suppliers. The design or layout of the USA Printer Solutions website or any other website owned, run, licensed, or controlled by USA Printer Solutions is not included in the definition of "Materials."
“Software”
Any computer program, whether it is controlled by USA Printer Solutions or a third party, and whether it is distributed through a download, CD, other media, or another delivery method—including client and/or network security software—is referred to as "software." Copyright, trade secret, unfair competition, and other laws protect some aspects of the software. Software include both third-party software and software from USA Printer Solutions. Your use of the software is governed by the applicable agreements, including any user or licensing agreements that come with the software, ordering documents, exhibits, and other applicable terms and conditions (collectively, the "License Terms").
SUBMISSION OF PLAN ORDERS; SERVICE PLANS
You can place service orders by phoning USA Printer Solutions or by submitting plan orders via the USA Printer Solutions portal. You will receive an email from USA Printer Solutions at the email address you gave or have provided to USA Printer Solutions as part of the Services Registration Process as soon as the company accepts the Plan Order you submitted. For services related to any Plan Order that it has not accepted, USA Printer Solutions is not liable. You will have a Service Plan once a Plan Order has been approved by USA Printer Solutions.
UNDERTAKING
Usa Printer Solutions shall use commercially reasonable efforts to provide suitable solutions under the Services in order to address your question, subject to the Terms and Conditions and additional terms particular to each Service Plan. Generally speaking, USA Printer Solutions will try to diagnose the issue and find a solution via chat, email, remote access, a planned in-person visit, or any other method it determines is best suitable for the given situation. You are aware that if you utilize remote access on your computer, there won't be any leftover software from the session; however, a text file that details the operations done on your computer might be installed.
If such a text file is saved on your computer, you can choose to remove it from your computer or store it for later use. As stated below, USA Printer Solutions's Limited Warranty applies to any commitments made under Service Plans. Please contact us or consult the online documentation for further details. According to the Payment Terms listed below, you agree to pay all Services Fees and any other applicable fees or charges as specified in the corresponding Plan Order.
PAYMENT
After you have paid for services in accordance with the terms of the relevant Plan Order, you will be entitled to access services against any Plan Order. If payments are not made as required by any Plan Order, USA Printer Solutions is not obligated to provide services under any Service Plan. You are aware that some service plans contain costs, such as "Service Fee" and/or "Activation Fee," which can be paid monthly ("Recurring Payment Plan") or annually ("Annual Payment Plan"). All payments under the Annual Plan must be made in full at the start of the subscription cycle, subject to the applicable Term Plan. As stated in the Plan Order, you will be assessed an extra non-refundable Activation Fee at the time of registration for payments made under the Recurring Payment Plan, in addition to the monthly installments of the Service Fee, which are due over a one-year payment term. Unless otherwise specified in the Plan Order, the fee (including the Activation Fee) will not be reimbursed if the Service Plan is canceled. All fees under this paragraph or any applicable Plan Order must be paid at the time the Service Plan begins.
You agreed to a specific pricing and plan when you bought the service; this plan may be for one, two, or three years ("Term Plan"). The relevant Plan Order shall contain the conditions of the Service Fee and/or any other fee due under any mode of payment for a subscription. Likewise, many plans could provide a discount on the service if you enroll in other USA Printer Solutions services (referred to as a "Bundle Discount").
For the duration of the applicable period, you commit to maintaining both your service and the bundled services. The pricing offered by term plans and bundle discounts is in effect until one of the following happens if you signed up for one of those plans: (1) the period Plan expires; (2) you discontinue a service that you had to acquire from USA Printer Solutions to qualify for the special rate, as informed to USA Printer Solutions; or (3) You end the service plan or agreement before the end of the applicable period.
Credit Card Billing
To activate your service, you might be required to give us the credit card number from a card issuer that we accept. Regarding any outstanding costs for services or associated equipment, you hereby give USA Printer Solutions permission to charge and/or put a hold on your credit card. By agreeing to these charges, you give the credit card issuer permission to pay any amount listed here without a signed receipt, and you also agree that the credit card issuer may accept these charges as permission to pay any amount listed here without a signed receipt.
You give USA Printer Solutions and/or any other business that bills goods or services or uses USA Printer Solutions as a billing agent permission to keep trying to charge and/or put holds on all amounts listed here, or any part of them, to your credit card until they are paid in full. You consent to give USA Printer Solutions your most recent credit card information at its request and whenever the information you previously gave is no longer accurate. You understand and agree that neither USA Printer Solutions nor any of its connected businesses will be held responsible in any way for any charges or insufficient funds you may incur as a result of these efforts to charge or put holds on your credit card.
If you inadvertently give a debit card number rather than a credit card number, you consent to all of the charges listed below being charged to that debit card until you give a credit card number. You acknowledge that all amounts mentioned here may be charged, at the discretion of USA Printer Solutions, to the account number you have provided for such an automatic payment or electronic funds transfer plan if you are enrolled in one or subsequently enroll in one. The terms and restrictions set out by the credit or debit card issuer will also apply when payment is made with a credit or debit card. If your credit card is unable to process the charges.
RENEWAL POLICY
You understand and agree that, absent your notice, a subscription under the recurring payment plan will automatically renew for another month ("Auto Renewal"). A subscription purchased using the Annual Payment Plan, however, does not automatically renew and ends at the conclusion of the relevant Term Plan.
Your credit card will be charged with the amount of the then prevailing subscription charges as per the payment option that you selected at the time of registering with Geek Smart Solutions.
If you would want to stop your service, please give us a call at least 30 days before the end of your subscription and speak with one of our customer support agents.
REFUND POLICY
If, within the first 30 days of your subscription, USA Printer Solutions is unable to fix even one problem for you, you will receive a complete refund for subscription-based programs.
The Subscription Service payments will not be reimbursed if one or more issues are rectified. Despite this, USA Printer Solutions may, at its sole discretion and on an individual basis, consent to a reimbursement of subscription payments following the deduction of customer service charges.
If any of the following conditions are satisfied, you may be eligible for a refund under incident-based plans:
- The issue was not fixed until the account was active, even though you had all the necessary criteria to fix it.
- The problem is outside the purview of the specific strategy.
- Seven days have gone by since a technician from USA Printer Solutions last resolved the problem.
ACCEPTABLE USER POLICY (AUP) AND PRIVACY POLICY
The Acceptable User Policy (AUP) and Privacy Policy of USA Printer Solutions, which are essential components of these Terms and Conditions, are referenced here. Before committing to these terms and conditions, please read the privacy policy and the "AUP" of USA Printer Solutions. You acknowledge that any information or data you provide to USA Printer Solutions over the phone, online, or in any other way is not proprietary or confidential to you, save from the Personal Information listed in the Privacy Policy.
PERSONAL AND NON-COMMERCIAL USE LIMITATION
The Services, Materials, and Software are only for your personal, non-commercial use in resolving issues covered by your Service Plan, unless otherwise noted. No information, software, products, or services derived from the Services, Materials, or Software may be altered, copied, distributed, transmitted, displayed, performed, reproduced, published, licensed, altered, derivative works created from, transferred, distributed, or sold. Only when used in conjunction with services covered by an active service plan are any services, materials, and software available.
NO UNLAWFUL OR PROHIBITED USE
You agree not to use the Materials, Software, or Services for any purpose that is illegal or forbidden by these Terms of Use as a condition of using the USA Printer Solutions Portal or any of its services. No USA Printer Solutions server or the network(s) connected to any USA Printer Solutions server may be damaged, disabled, overloaded, or otherwise hampered by your use of the Services, Materials, or Software. Additionally, you may not interfere with the use and enjoyment of any USA Printer Solutions Portal, the Materials, Software, or Services by any other party.
Hacking, password mining, and other methods are prohibited in any attempt to obtain unauthorized access to any USA Printer Solutions Portal, the Materials, Software, or Services, other accounts, computer systems, or networks linked to any USA Printer Solutions server, or any of the USA Printer Solutions Portal, the Materials, Software, or Services. No USA Printer Solutions Portal, the Materials, Software, Services, or information may be obtained or attempted to be obtained by any means other than those expressly allowed by a Plan Order.
FAIR USAGE POLICY; SUSPENSION OR TERMINATION OF SUBSCRIPTION:
Each Subscriber's use of the support services for the subscription-based plans is subject to USA Printer Solutions's "fair use" policy, even though there are no restrictions on how many online support requests a user of a subscription-based plan may make during the subscription period. As per this policy, USA Printer Solutions retains the right to suspend or terminate a subscriber's subscription services if, at any point, it determines that the user of a subscription-based plan is abusing the service by using it more than what is reasonably expected of someone using a subscription plan for individual use.
Furthermore, if USA Printer Solutions determines, in its sole discretion, that a Subscriber's Subscription Services are being used (a) fraudulently, (b) by someone other than the Subscriber, or (c) for any computer system other than a Registered System, it retains the right to suspend or terminate those services. By providing written or electronic notification to USA Printer Solutions, users may discontinue the service at any time; however, they will not be eligible for reimbursement of any costs they have paid for the service.
USE OF COMMUNICATION SERVICES
You commit to using the Communication Services solely to send, receive, and post appropriate messages and content that are relevant to the specific Communication Service in question. You consent to the following, for instance, but not as a restriction, when using the Communication Services:
- In the context of surveys, competitions, pyramid schemes, chain letters, spam, junk email, or any unsolicited or duplicate communications (commercial or otherwise), use the Communication Services.
- Threaten, harass, stalk, defame, abuse, or otherwise infringe against another person's legal rights (including their right to privacy and publicity).
- Any topic, name, content, or information that is improper, offensive, defamatory, obscene, indecent, or illegal may be published, uploaded, distributed, or disseminated.
- Unless you own or control the rights thereto or have obtained all required consent, you should not upload or otherwise make available files that contain images, photographs, services, or other material protected by intellectual property laws, such as copyright or trademark laws (or by rights of privacy or publicity), among others.
- Any information or content made available through the Materials, including pictures or photos, may not be used in a way that violates any party's copyright, trademark, patent, trade secret, or other intellectual rights.
- prohibit or limit the usage of the Communication Services by any other user.
- transgress any rules or regulations that may be relevant to a certain communication service.
- Harvest or gather data about other people, such as email addresses.
- Break any applicable rules or laws.
- To deceive USA Printer Solutions or other people, develop a persona.
- Utilize, download, or otherwise duplicate any user or usage information, or any part of it, and give it to a person or organization (whether or not for a price)
It is not required of USA Printer Solutions to keep an eye on the communication services. USA Printer Solutions, however, maintains the right to examine content uploaded to the Communication Services and, at its sole discretion, to remove any content. Your access to any or all of the Communication Services may be terminated by USA Printer Solutions at any time, for any reason, and without prior notice.
USA Printer Solutions maintains the right at all times to disclose any information it deems necessary to adhere to any applicable legislation, rule, court case, or official request. Furthermore, USA Printer Solutions maintains the right, at its sole discretion, to alter, reject, or delete any information or materials, in whole or in part.
It is your responsibility to abide by any posted restrictions on use, reproduction, and/or distribution that may apply to any materials uploaded to the Communication Services.
LINKING
No part of the USA Printer Solutions Portal or any of the materials or software posted within may be linked to by you.
INDEMNITY
You agree to defend, indemnify, and hold harmless USA Printer Solutions, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, consultants, suppliers, and any third-party Web site providers from and against any claims, demands, actions, liabilities, losses, expenses, damages, and costs, including actual attorneys' fees, that arise from your misuse or abuse of a service, from any use of a service that amounts to infringement, or from any infringement by another user of your account of any intellectual property or other right of USA Printer Solutions or any other third party.
You will assist USA Printer Solutions in defending any claim to the fullest extent that is reasonably required. USA Printer Solutions retains the right, at its own cost, to take sole responsibility for the defense and management of any case; otherwise, you will be held liable, and you will never settle a dispute without USA Printer Solutions's express approval. You commit to promptly informing USA Printer Solutions of any unauthorized account use or other security violation that you become aware of.
GUESTS; LIMITED LICENSE TO USE OF USA Printer Solutions PORTAL
You are considered a "Guest" if you do not currently have a service subscription. Current USA Printer Solutions clients that use the portal outside of the parameters of a service outlined in an appropriate plan order are also considered "guests."
As a visitor, you are permitted to use the USA Printer Solutions portal and the materials marked as accessible to visitors only for the restricted purposes of (a) choosing whether to sign up for the services offered by USA Printer Solutions, and (b) creating an account and placing plan orders. The license granted above is revocable and non-exclusive.
COMMUNICATIONS SERVICES
Depending on your Service under a Plan Order, USA Printer Solutions may offer you the use of email services, addresses, bulletin board services, instant messaging services, chat rooms, news groups, forums, communities, personal websites, calendars, file cabinets, and/or other message or communication tools to help you communicate with USA Printer Solutions staff and others as needed (collectively, "Communication Services"). Communications services can only be utilized in accordance with a Plan Order that has been approved; they cannot be used for any other reason.
LIMITED LICENSES TO USE THE USA Printer Solutions PORTAL, MATERIALS AND SOFTWARE
Materials and Software uploaded on the USA Printer Solutions Portal or made available in connection with a Plan Order may be used for other purposes and/or subject to additional restrictions, as allowed by a Service.

HOW TO REQUEST SERVICE
To report issues with services, hardware, or software, customers should get in touch with USA Printer Solutions. Any of the four methods below can be used to get the assistance of USA Printer Solutions.
- There is phone service during regular business hours. During business hours, voicemail messages are processed as quickly as feasible. The following working day will be used to process messages left after regular business hours.
- In-Store/Walk-in: Visit USA Printer Solutions shops to find the store that is closest to you. It is possible to walk in during regular business hours.
- Online requests can be submitted at any time, day or night, and will be handled during regular business hours the following day. (Log in to info.usaprintersolutions.com to submit your requests.)
- Whether you are a new member or an existing subscriber, you can start an online remote session at any time of day or night. You will be guided through the procedure with ease by the USA Printer Solutions.
USA Printer Solutions RESPONSE PROCESS
Our staff enters a trouble ticket into a tracking system as soon as a customer or SMB contact requests support. The consumer receives an email recognizing the creation of a difficulty ticket, along with a ticket number generated automatically by the system. Remember the following:
- Responses are given within regular business hours.
- Timelines are an estimates based on best efforts; delays might happen when vendors need to be contacted or things need to be ordered.
- Our crew is in charge of supplying specifications and quotations for equipment orders (such as laptops and smartphones) within the predetermined response timeframe. We have no control over when the equipment will be delivered.
- Issues can be fixed remotely.
- Our employees might not be able to meet the stated response times if computers and cellphones are not on-site.
- Issues brought on by circumstances outside the control of our employees, like building electrical problems, will be resolved as soon as feasible, but the response timeframe is not strictly adhered to.

- Additional local service and VAT charges
- It may take up to 10 business days for your system to be fixed if it is picked up for repair. Depending on delays in parts procurement and/or approval, it can take longer.

- Visit the website https://usaprintersolutions.com. To file a new service ticket and monitor its status, log in using your registered email address under the Existing Customer option.
- The cost of the part will be extra if a system needs to be replaced. To get your kind approval, our repair staff will give you a special call.
- Only after our comprehensive examination will we be able to provide an accurate diagnosis and a list of the parts that have failed if the item is delivered with NO POWER, NO DISPLAY, or is totally non-functional.
- The repair/workmanship warranty stands for 1 month, subject to the equipment not treated/opened/managed by any other vendor, post our last repair. Replaced Parts warranty is separate as per the warranty on each part.
- In any physically damaged equipment or equipment with identified hardware damages, it is quite possible that any part which is intermittently working can potentially completely stop functioning, while we are in the process of diagnosing and resolving the reported issue/s. In such a scenario, Geek Smart Solutions will not be held liable for returning the system in the exact (pre-received) partial working condition, should the customer deny further repair and resolution by the Geek Smart Solutions technical team.
- The equipment must not be handled, opened, or controlled by another vendor after our most recent repair for the repair/workmanship warranty to be valid for one month. The guarantee for replaced parts is distinct from the warranty for each individual part.
- As we diagnose and fix the reported issue or issues, it is conceivable that any portion that is only occasionally functional could stop working entirely in any physically damaged equipment or equipment with hardware damage found. In the event that the customer refuses additional repair and resolution by the USA Printer Solutions technical team, USA Printer Solutions will not be responsible for restoring the system to the exact (pre-received) partially functional state.
- Data loss and 100% data recovery are not guaranteed by USA Printer Solutions. USA Printer Solutions offers data backup as a separate, paid service; if you or your client would want to use it, you will be charged extra. However, we offer it for free for little amounts of data (less than 10GB). USA Printer Solutions does not, however, advise backing up audio or video files while the operating system is being reinstalled or during any other repair procedure.
- Any software or licenses that the client holds on its equipment or device, regardless of their validity or originality, are fully indemnified by the customer to USA Printer Solutions.in. USA Printer Solutions does not engage in or encourage any form of piracy.
- For any or all application software or licenses that come pre-installed on the device or equipment, USA Printer Solutions recommends that all of its clients keep the original CDs or licenses. If any installed application software is lost during the repair process, USA Printer Solutions is not liable.
- For the installation of new or reconditioned components, USA Printer Solutions is the only and only owner of the hardware replacement rights.
- The maker of the part provides the warranty.
- USA Printer Solutions disclaims any liability for any instances of pirated software that comes pre-installed.
- The customer service period is defined by the start and end dates listed on the invoice.
- Our Technical Repair Center will handle any hardware repairs.
- USA Printer Solutions is not responsible for any data loss, data theft, damage/theft/loss of the equipment during the time of service/repair, while the equipment is in the custody of USA Printer Solutions, however, will take utmost precautions to ensurethe safety of the devices/equipment in line to the policy of safety and protection of the companies assets.
- Please take note that the request ID and invoice ID must always be mentioned when picking up the invoice.

GENERAL LICENSE RESTRICTIONS
Except as specifically allowed by USA Printer Solutions, no other use of the USA Printer Solutions Portal, Services, Materials, or Software is allowed. USA Printer Solutions and its suppliers retain the rights to execute, copy, alter, display, transmit, distribute, manufacture, use, and sell. It is completely forbidden to decompile or reverse engineer the software.
USER RESPONSIBILITY
As a condition of receiving services, you commit to:
- Work together with USA Printer Solutions. Technician: To give you the support, we will make commercially reasonable attempts. Based on our expertise, most problems can be fixed if you and the technician work closely together. Please listen carefully to the technician and follow the technician’s instructions. You must confirm that the following conditions are true:
- reproducible on a single system—that is, a single central processor unit with its workstations and other peripherals—is the scenario that gives rise to the query;
- The complete system, including software and hardware, is available to you and accessible by you without limit during any telephone discussions with USA Printer Solutions support personnel. You must be knowledgeable about the hardware system, any software involved, and the facts and circumstances surrounding the incident.
- Software/Data Backup: You acknowledge that USA Printer Solutions will never be held accountable for any lost or corrupted data or software. It is highly advised by USA Printer Solutions that you always keep a comprehensive data backup and disaster recovery plan.
- Account, Password, and Security: You must finish the Registration Process by giving us up-to-date, accurate, and comprehensive information as requested by and mandated by the relevant Registration Form before you may submit a Plan Order. Additionally, you will select a user name and password. Maintaining the privacy of your account and password is entirely your responsibility.
- Additionally, you bear full responsibility for all activities that take place under your account. You promise to report any unauthorized use of your account or other security breach right away to USA Printer Solutions. If someone else uses your password or account without your knowledge, USA Printer Solutions will not be responsible for any losses you may sustain. However, if someone else uses your account or password, you might be responsible for any losses USA Printer Solutions or another party sustains. Without the account holder's consent, you are never permitted to use another person's account.
AVAILABILITY OF SERVICES AND MATERIALS UNDER FORCE MAJEURE CIRCUMSTANCES
You agree that events beyond USA Printer Solutions's reasonable control (such as natural disasters, widespread computer virus outbreaks, strikes, riots, wars, other military action, civil unrest, acts of terrorism, fires, floods, vandalism, sabotage, third-party actions, or the like) may cause USA Printer Solutions to be unable to schedule a support session in a timely manner. You agree that USA Printer Solutions will not be responsible for any direct or indirect losses that may arise from such delays, and you release USA Printer Solutions from all liability.
In order to carry out maintenance tasks and preserve session control, USA Printer Solutions or its providers may, at any time, limit the availability of the Service or restrict its usage without prior warning or liability.
EXCLUSIONS FROM “SERVICES”
The following are not considered "services":
- anything that isn't covered by a plan order's parameters;
- service longer than the time constraints specified in your Plan Order;
- troubleshooting and help that might not be finished due to an issue with your computer or other devices, or their setup, which is out of our control;
- software that is not covered by the service plan, such as the operating system and software included with registered hardware items;
- Issues that can and do arise from:
- external factors including mishaps, misuse, abuse, or electrical power issues;
- usage that deviates from the manufacturer's recommendations for the product;
- not performing preventative maintenance or adhering to the manufacturer's recommendations for the product; or issues brought on by employing parts, accessories, or components that are incompatible with the product.

EXCLUSIONS FROM “SHARED SERVICES”
The following are not considered "shared services":
- anything that isn't covered by a plan order's parameters;
- Service beyond the time constraints specified in your plan order (up to one shared service ticket per month; any extra shared resources will only be billed on a man-day basis after approval)
- diagnosis and assistance that might not be finished due to an issue with your computer or other devices, or their setup, that is out of our control;
- software that is not covered by the service plan, such as the operating system and software included with registered hardware items;
- Issues that can and do arise from:
- external factors including mishaps, misuse, abuse, or electrical power issues;
- usage that deviates from the manufacturer's recommendations for the product;
- Failure to follow the product instructions provided by the manufacturer or failure to perform preventive maintenance;
- Issues resulting from the usage of parts, accessories, or components that are incompatible with the product: or
- Non-compliance with the USA Printer Solutions BUSINESS SUPPORT SERVICE engineer instructions for resolving the query.
NOTICE SPECIFIC TO MATERIALS AND SOFTWARE AVAILABLE ON THE USA Printer Solutions PORTAL, OR THROUGH A SERVICE
Whether as part of a service or as a way to advertise the services, USA Printer Solutions may make materials or software (as each term is defined above) accessible for use and/or download for your convenience. The stricter of (a) the terms of the end user license agreement ("EULA"), if any, that comes with the particular Materials and Software, or (b) these Terms and Conditions in the absence of an EULA, governs the use of any Materials and Software.
You may only download the Materials and Software for your own use in accordance with (a) the EULA and (b) the Plan Order. The EULA specifically forbids any reproduction or redistribution of the service, and doing so could lead to serious civil penalties.
Unless specifically approved by USA Printer Solutions, no logo, graphic, sound, or picture from any of its websites may be duplicated or retransmitted. Except in cases where the EULA accompanying the material or software expressly permits it, it is expressly forbidden to copy or reproduce the materials or software to any other server or location for further reproduction, distribution, or any other purpose.
END USER LICENSE AGREEMENTS (EULA) – GENERALLY
We may allow you to use specific software that is owned by USA Printer Solutions or its third-party licensors and suppliers in conjunction with our service. You agree to cooperate in carrying out any necessary actions to install any updates or upgrades to the software, which we and the third-party licensors reserve the right to do from time to time. The Software can only be used in conjunction with the Service in compliance with the Service Plan; it cannot be used for any other purpose.
A third-party or USA Printer Solutions EULA may be included with the software. The conditions of the licensing agreement and, if applicable, this agreement control how you use the software. You must first accept the terms and conditions of the EULA before you may install or use any software that comes with one.
EULA FOR USA Printer Solutions SOFTWARE
Regarding any software that USA Printer Solutions makes available to you via the USA Printer Solutions Portal and for which you are not required to accept a separate license agreement ("USA Printer Solutions Software"), USA Printer Solutions hereby grants you a revocable, non-exclusive, non-transferable license to use the USA Printer Solutions Software (and any corrections, updates, and upgrades). You must not make any copies of the USA Printer Solutions software in compliance with the terms of the service plan.
You acknowledge that the USA Printer Solutions software is private and secret information owned by USA Printer Solutions or its third-party licensors, suppliers, or providers, and that you are not allowed to use it or disclose it to third parties unless specifically allowed by this agreement. In addition to reducing the USA Printer Solutions software to a human-readable form, you are not allowed to decompile, reverse engineer, disassemble, try to find any source code or underlying ideas or algorithms, alter, rent, lease, loan, use for time-sharing or service bureau purposes, reproduce, sublicense, or distribute copies of the software, or otherwise transfer the USA Printer Solutions software to any third party.
Any copyright, trade name, trademark, legend, symbol, or label that appears on or in copies of the software cannot be removed or changed. You do not acquire any ownership rights or titles to the USA Printer Solutions software. You understand that this license is not a sale of intellectual property and that all rights, title, and interest, including but not limited to all copyright, patent, trademark, trade secret, and moral rights, to the USA Printer Solutions software and related documentation, as well as any updates, upgrades, and corrections, remain owned by USA Printer Solutions or its third-party licensors, providers, or suppliers. Only usage of the USA Printer Solutions software is permitted within the United States; exporting the software is strictly forbidden.
THIRD PARTY PRODUCTS
USA Printer Solutions may recommend that you download, install, and utilize specific third-party software or services ("Third Party Software") as part of the Services. You are granted a license to use Third Party Software by the respective owners or licensees. Regardless of whether USA Printer Solutions helps you purchase, install, or use Third Party Software, you must accept the terms and conditions stated by such owners or licensees before installing Third Party Software. USA Printer Solutions has no responsibility or rights to the Third Party Software and does not license Third Party Software to you or make any representation or warranty regarding the Third Party Software. Until it is terminated by USA Printer Solutions, its third-party licensors, providers, or suppliers, or until your Service Plan is terminated in accordance with your Plan Order and these Terms and Conditions, your license to the USA Printer Solutions software will continue in full force and effect. You must immediately remove the USA Printer Solutions software from your computer and stop using the service plan and the USA Printer Solutions software when your service plan is terminated for any reason.
You must make sure that you abide by the terms and conditions under which you licensed the Third Party Software or bought the equipment, to the extent that we offer technical support and help for such items. It is your obligation to decide whether you need extra rights for us to provide such support and, if so, to get such rights. We do not guarantee or represent that we are an approved service provider for Third Party Software or any equipment. You understand that any warranty provided by the seller of such Third Party Software or equipment may be nullified if it is supported by an unapproved service provider.
THIRD PARTY AGREEMENTS
USA Printer Solutions may recommend specific third-party services to you as part of the Services. Your use of any third-party services, whether through subscription or other means, is governed by the terms of service of the third-party service provider. You acknowledge that the third-party provider is entirely in charge of providing you with its service or services and that you will abide by its terms of service. Technical assistance, portal, training, music, gaming, and storage services are just a few examples of the third-party services that USA Printer Solutions may occasionally choose to offer. At USA Printer Solutions's exclusive discretion.
LIMITED SERVICE WARRANTY
USA Printer Solutions disclaims any warranties, whether explicit or implied, about the software, materials, and services, whether they are related to merchandising or suitability for a specific purpose, or otherwise. You have two options if you're not happy with the services: (A) let USA Printer Solutions do the services again, subject to disagreement; or (B) download and reinstall the software.
According to the online documentation for those particular plans, some of the service plans offered by USA Printer Solutions provide a limited service warranty of seven days. In addition to the terms and conditions stated in this document, the terms for the specific service plan must be fulfilled in order for this seven-day limited service warranty to be valid.
Regarding the suitability of the information contained in the services, materials, or software for any purpose whatsoever, USA Printer Solutions and/or its respective suppliers make no representations. All software and materials are supplied "as is" and come with no warranties of any kind. With regard to this information, USA Printer Solutions and/or its respective suppliers hereby disclaim all warranties of any kind, whether express or implied, including all warranties and conditions of quality, suitability for a specific purpose, title, and non-infringement, whether express or implied.
There may be typographical or technical errors in the materials. The information provided here is subject to periodic updates. Solutions for usasmartsolutions.com and/or its respective suppliers reserve the right to alter and/or improve the software and/or materials described here at any time.
In no case shall USA Printer Solutions and/or its suppliers be held accountable for any special, indirect, or consequential damages or damages of any kind resulting from the loss of use, data revenue, or profits, whether in a contract action, negligence, or other tortious action, incurred by you or any third party, whether arising out of or related to the use or performance of services, materials, or software, failure to provide the same, or information contained in the materials.
LIMITATION OF LIABILITY
USA Printer Solutions will never be held accountable to you for more than what you actually paid them under the Plan Order in question, regardless of what other circumstances may exist. "YOU" acknowledge that USA Printer Solutions will not be responsible for any damage to your equipment while it is in transit or brought to our location, office, or depot for additional repair and replacement if USA Printer Solutions staff are needed to handle the gear.
LIMITATIONS ON ACTIONS
If you do not initiate any action within three (3) months of the cause of action arising, it will be permanently waived and barred..
TERM AND TERMINATION
If, at its sole discretion, USA Printer Solutions determines that: (a) you are in violation of any of the Terms and Conditions (including but not limited to all policies regarding abuse and acceptable use of the Service) or any license for Third Party Software; (b) your use of the Service is illegal or interferes with, negatively affects, or causes a malfunction to the Service, USA Printer Solutions's network, or the use and enjoyment of USA Printer Solutions's other users; (c) USA Printer Solutions receives an order from a court to terminate the Service you are using; (e) if you are no longer a customer of USA Printer Solutions; (d) if USA Printer Solutions discontinues providing the Service for any reason; or (f) if USA Printer Solutions deems that you are abusing the Service. Following a termination or suspension of your use of the Service, USA Printer Solutions retains the right, at its sole discretion, to reject your request for the Service, renewal, or re-subscription.
SEVERABILITY; WAIVER
Any clause that is deemed illegal or unenforceable will be enforced to the greatest degree feasible, while the remaining clauses in the Terms of Service will continue to be fully enforceable. Any clause in the Terms of Service that USA Printer Solutions chooses not to enforce will not be interpreted as a waiver of that clause or the right to do so.
